A statement made by someone who wants to avoid an argument or has no intent of engaging on an issue, because they know fine damn well they've screwed up and they'd definitely be on the losing end of things.

Often taken up by egomaniac head coaches who just lost a game they should have had sewn up (e.g. Alex Ferguson, Jose Mourinho, Bill Belichick etc - Jerry Glanville for the teenagers) or someone in management fond of punching down who just fucked over an employee. Again.
'Bill, you really weren't ready for that hook-and double lateral that won the game for Miami today. Why did you put Gronkowski on the field in defense when Kenyan Drake was always going to breeze past him?' 'It is what it is.'

'You've got me in on a national holiday shift where there's no more buses home ten minutes before I'm done and a taxi would cost more than half what I'd make in that shift. Every time this happens.' 'It is what it is. Sort it out yourself.'
